TERMS AND CONDITIONS

            Valley Multimedia Corporation and/or EL Clamor and/or the publisher may reject or cancel at any time. Advertisers may be requested to submit samples of products prior to closing date.

            Advertiser and agency jointly  and separately  agree to indemnify and hold Valley Multimedia Corporation and/or EL Clamor and/or the publisher harmless from and against any loss or expense arising out of publication of material appearing in advertisements submitted, included but not limited to the Valley Multimedia Corp. and/or EL Clamor and/or the publisher 's expenses in connection with the defense against any suit or proceeding arising from the claim that publication of material appearing in advertisements submitted to it for publication was in violation of a law imposed by the U.S. or by any state or subdivision thereof.

            Valley Multimedia Corp. and/or EL Clamor and/or the publisher shall have no liability whatever for any failure to publish or circulate all or any issue or issues because of strikes, lockouts, or other work stoppages, acts of God, fire, accidents, postal delays or other interruptions of production beyond the publishers' control.

            Valley Multimedia Corp. and/or EL Clamor and/or the publisher reserves the right to hold advertiser and/ agency jointly and separately liable for such monies as are due and payable to Valley Multimedia Corporation and/or EL Clamor and/or the publisher. Advertiser may not cancel orders for advertising after closing dates.

            By placing a mail-order advertisement Valley Multimedia Corporation and/or EL Clamor and/or the publisher an advertiser agrees to guarantee his product or service, whether or not a specific guarantee appears in the text of the advertisement. The minimum guarantee must be to replace merchandise, or to refund money, at the purchaser's option if purchaser mails the product back within 30 days after receipt by him.

ADVERTISING RATES POLICIES

            Rates may be raised on 30 days notice. Alcohol, tobacco, abortion services and sexual oriented advertising is not accepted.

CONTRACT AND COPY REGULATIONS

            We reserve the right to insert the world "advertisement" in all ads, especially "all-copy" ads which may be mistaken for news articles. Liability for errors in advertisements shall not exceed the cost of the space occupied by the error. We will provide a correction letter if we have failed to correct errors clearly marked by the advertiser on return proofs.

            All advertisement accepted is subject to the approval of the Valley Multimedia Corp. and/or EL Clamor and/or the publisher where the ad will be inserted. We shall have the right to revise or reject in whole or in part any advertising.

            Any ad canceled after half or more has been produced will be charged at $20 per hour for production costs.
